Indemnity

User agrees to indemnify and hold Minus Inc harmless from any loss, liability, claims, damages and expenses, including attorneys fees, arising from or related to the content, use, or deletion of User's Files or use of any other feature or service. This expressly includes:

• User's responsibility for any and all liability arising from the violation or infringement of proprietary rights or copyrights.
• Any defamatory or unlawful material contained within User's Files.

Waiver

By accepting this agreement you waive and hold harmless company from any claims resulting from any action taken by Minus Inc during or as a result of its investigations and/or from any actions taken as a consequence of investigations by either Minus Inc or law enforcement authorities.

Miscellaneous

These Terms of Use will be governed and interpreted pursuant to the laws of Las Vegas, Nevada United States of America, notwithstanding any principles of conflicts of law. You specifically consent to personal jurisdiction in Las Vegas, Nevada in connection with any dispute between you and Company arising out of these Terms of Use or pertaining to the subject matter hereof. The parties to these Terms of Use each agree that the exclusive venue for any dispute between the parties arising out of these Terms of Use or pertaining to the subject matter of these Terms of Use will be in the state and federal courts in Las Vegas, Nevada. If any part of these Terms of Use is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. These Terms of Use constitute the entire agreement among the parties relating to this subject matter. Maintenance

Minus Inc may perform maintenance services as Minus Inc determines reasonably necessary. User acknowledges that such maintenance may require downtime. Minus Inc will attempt to provide prior notice of the maintenance downtime, except in the case that circumstances beyond Minus Inc's control limit the ability to do so.
